Plaintiffs’ tortious interference claim (Count III) against GitHub and Microsoft is deficient in multiple other ways. “Tortious interference with contractual relations requires (1) the existence of a valid contract between the plaintiff and a third party; (2) the defendant’s knowledge of that contract; (3) the defendant’s intentional acts designed to induce a breach or disruption of the contractual relationship; (4) actual breach or disruption of the contractual relationship; and (5) resulting damage.” Ixchel Pharma, LLC v. Biogen, Inc., 9 Cal. 5th 1130, 1141 (2020) (quotation marks omitted). The Complaint falls short on every element. Although Plaintiffs label their claim one for tortious interference with contract, they identify no contractual relationship between themselves and anyone else—much less a contract that GitHub and Microsoft knew about. See Compl. ¶¶ 188-93; see also Bed, Bath & Beyond of La Jolla, Inc. v. La Jolla Vill. Square Venture Partners, 52 Cal. App. 4th 867, 878 (1997) (plaintiff must allege an existing, enforceable contract). While Plaintiffs allege that they deposited materials in public GitHub repositories subject to open source licenses, they do not allege that any third party ever entered into a contract with them in regard to those materials. Nor do Plaintiffs plausibly allege that GitHub or Microsoft committed “intentional acts designed to induce a breach or disruption” or “actual breach or disruption” with respect to an open source license granted by Plaintiffs to any unidentified third party. Ixchel, 9 Cal. 5th at 1141. All they allege is that “[a]t GitHub’s upcoming yearly conference, GitHub Universe 2022, it will host a presentation called ‘How to compete with open source—and win.’” Compl. ¶ 190. Plaintiffs construct their claim on a tortured interpretation of this title, as though the presentation provides a blueprint on how to compete against open source, when the more natural reading is that it is about how to compete effectively using open source. But in all events, this is hardly an allegation of a specific act to knowingly interfere with specific contracts. And in any event, “compet[ing]” and “win[ning]” is not a tort. See Ixchel, 9 Cal. 5th at 1142. The Complaint therefore states no claim for intentional interference with contract against GitHub or Microsoft. The Complaint also fails to state a claim for the related tort of interference with prospective economic advantage. Although “[t]ortious interference with prospective economic advantage does not depend on the existence of a legally binding contract,” it still requires a plaintiff to “show that the defendant knowingly interfered with an economic relationship between the plaintiff and some third party, which carries the probability of future economic benefit to the plaintiff.” Ixchel, 9 Cal. 5th at 1141 (cleaned up). Plaintiffs’ Intentional and Negligent Interference with Prospective Economic Relations Claims Fail The Opposition does not point to factual allegations to satisfy a single element of Plaintiffs’ claims for intentional or negligent interference with prospective economic advantage. Plaintiffs contend that they have satisfied this element because (i) the FAC refers to “open-source licensing relationships and communities,” (Opp. at 19), and (ii) courts have recognized that there are “economic benefits[] to the creation and distribution of copyrighted works under public licenses.” Jacobsen v. Katzer, 535 F.3d 1373, 1379 (Fed. Cir. 2008). No Economic Relationship with the Probability of Future Economic Benefit. While licenses may sometimes confer benefits, Plaintiffs’ cited authority does not involve a tortious interference claim and does not stand for the proposition that referring to open source licenses alone is sufficient to satisfy this element at the pleading stage. As stated in OpenAI’s Motion, Plaintiffs must plead specific economic relationships between Plaintiffs and third parties that have the probability of future economic benefit, not merely the hope of future transactions. (See MTD at 15-16.) Plaintiffs have failed to do so and have not cited a single case that states otherwise. Plaintiffs’ conclusory argument that Defendants were aware of “these relationships, including those of open-source communities” (Opp. at 19.) fails to show that they adequately alleged OpenAI’s knowledge of an economic relationship between Plaintiffs and a third party. Care Enters., 177 Cal. App. 3d 1120, 1133 (1986). As many courts have acknowledged, the allegations “must do more than conclusorily allege the existence of business relationships with which the defendant interfered.” Logistick, Inc. v. AB Airbags, Inc., 543 F. Supp. 3d 881, 887 (S.D. Cal. 2021); see also Damabeh v. 7-Eleven, Inc., No. 5:12-cv-1739-LHK, 2013 WL 1915867, at *10 (N.D. Cal. May 8, 2013) (a plaintiff “must identify with particularity the relationships or opportunities with which defendant is alleged to have interfered”). Plaintiffs’ allegations do not identify with particularity the relationships with which OpenAI allegedly interfered. Plaintiffs’ conclusory statements that the FAC “alleges actual disruption of Plaintiffs’ relationship with their users” and “does adequately allege economic harm due to interference with Plaintiffs’ open source code community” are insufficient to defeat OpenAI’s Motion. (Opp. at 20.) No Actual Disruption and Economic Harm. These blanket assertions, without any factual support, do not provide the requisite showing that OpenAI’s conduct actually disrupted Plaintiffs’ relationships with third parties or resulted in economic harm. See Bell Atl. Corp. v. Twombly, 550 U.S. 544, 555 n.3 (2007) (“Rule 8(a)(2) still requires a ‘showing,’ rather than a blanket assertion.”). For example, Plaintiffs do not allege in what way their future relationships with specific third parties were disrupted. Further, Plaintiffs’ statement that “[t]he fact that the open-source software was offered for free does not mean there was no consideration owed under the open-source license” does not demonstrate that Plaintiffs have suffered economic harm. (Opp. at 20.) As stated in OpenAI’s Motion, Plaintiffs have not identified any prospective contracts, job offers, or research assignments that Plaintiffs allegedly lost due to OpenAI’s purported interference, or the alleged monetary and reputational harm Plaintiffs experienced. (MTD at 18.) Plaintiffs have no response to their failure to plead “conduct that was wrongful by some legal measure other than the act of interference itself.” (MTD at 18.) No Wrongful Conduct. Plaintiffs refer to OpenAI’s alleged failure to attach licenses when emitting code (see Opp. at 20), but that conduct is not separate and distinct from the act of interference itself as alleged in the FAC. (See FAC ¶ 262 (alleging that OpenAI’s operation of Codex and reproduction of code without correct licenses “depriv[ed] Plaintiffs of the economic benefits of open-source distribution”).) Plaintiffs’ argument fails on its face. Plaintiffs have failed to demonstrate that the FAC sufficiently pleads “acts on the part of the defendant designed to disrupt the relationship” to satisfy the intent element of an intentional interference claim. Korea Supply Co. v. Lockheed Martin Corp., 29 Cal. 4th 1134, 1154 (2003). No Intentional Acts. Rather, Plaintiffs conclude that OpenAI had the requisite intent based on its alleged “failure to attach open-source licenses when emitting code.” (Opp. at 20.) The following is a Threat Analysis, detailing research performed by on the Killnet hack-for-hire group. Quadrant Security Who Is Killnet? Killnet is a hack-for-hire group with strong, but indirect ties to Russian government strategic goals, primarily utilizing Distributed Denial of Service ( ) as a preferred attack vector. While the group has been limited in impact to date, there are strong indicators that Killnet will continue to develop and escalate their attacks through malicious networking. DDoS Killnet Activity Background Several sources state that KillNet has claimed responsibility for data breaches ranging from a “Government Healthcare Source” to Lockheed Martin. This is NOT an expected outcome of a Denial of Service attack by itself. At the time of writing, there is no direct evidence that indicates how Killnet was able to obtain this information, though one source states brute-force dictionary attacks against public-facing services were observed. This source, however, did not provide a reference. Other analysts suggest that the continued use of DDoS may be to distract and misdirect defensive measures and teams to allow for more detrimental attacks to occur such as Ransomware / Wiper Malware infections. Because of their strong pro-Russian stance, some believe that other pro-Russian groups may come to their aid and target / assist with attacking the Killnet targets. One specific group listed is the Conti Ransomware group. Both Killnet and Conti have announced support for Russia following the invasion of Ukraine. Further, Killnet has publicly stated a desire to unite forces and bring other pro-Russian hacking groups together. Although they maintain several Telegram channels, Killnet has also established a forum of their own for bringing together threat actors. Diving Into Infinity Forum A closer look into the forum shows multiple sections ranging from fundraising for Killnet / Infinity Forum to a functioning store which offers various nefarious activities, including phishing campaigns, stolen credit card information, how to use the stolen data, and much more. Another alarming part of the forum acts as a “wanted” section. One observed post was soliciting for a Wiper Malware developer, stating that they have already compromised a hospital and have escalated privileges. Although the name of the hospital was not disclosed, screenshots indicate the compromised target is Ukrainian. Other comments on similar threads indicate a compromise of an English speaking hospital, stating that VNC was leveraged to view and edit MRI scans. News sections of this forum are filled with pro-Russian propaganda regarding the “SVO” (Spetsialnaya Voennaya Operatsiya == SMO (Eng), Special Military Operation) in Ukraine. Forums such as this would be expected to be found on TOR connections and not over the “open” internet. Some of the forums indicate that a shift to may be expected at the end of the month. TOR Research in Summary Although the threat of DDoS is of some concern, the potential of Killnet’s criminal partnerships to “share targets” is much more alarming. This is compounded by the active threads on the Infinity Forum which indicate recent active breaches. There are strong indicators that KillNet will continue to develop and escalate their attacks through this malicious networking. It is our determination that the largest concern of the KillNet ATP group is the implied evolution of TTP’s to encryption-based malware (Ransomware/Wiper Malware) and the potential for extortion / double extortion attacks or a target's complete loss of data as an end goal. How can web3 and blockchain, two new technologies that are more associated with grifting money from the unsuspecting and trading it for a picture of Bubbles the Chimp all whilst shouting ‘WAGMI’ in Discord echo chambers, have anything to do with space? Well, quite a lot actually. If we ignore the circus around Dogecoin and Elon Musk sending the digital currency into a frenzy by eluding it could be used as a form of payment in future Mars economies we can strip away the hype to concentrate on two important factors: it’s a decentralized and distributed ledger and transaction protocol with a myriad of uses outside of finance the decentralization of space and the ideologies that surround Web3 complement each other to support the notion that ‘Space is for all’ Blockchain protocols are themselves no stranger to new space. The Interplanetary File System (IFPS) from Filecoin was originally designed as a decentralized network replacement for the web’s centralized backbone for precisely this reason. At the moment the current infrastructure cannot support any space-based internet or file system but IFPS can. “From the beginning, IPFS was envisioned as a technology that can make interplanetary networking possible.” — Marta Belcher, president and chair of Filecoin Foundation. Every time you click something, that data has to be retrieved from a centralized server so if you’re on the Moon, there will be a multi-second delay with every click, as content is retrieved from Earth. The idea behind using a decentralized network is that the content can be retrieved from somewhere closer so IPFS allows users to host and receive content in a manner similar to BitTorrent. However in contrast IPFS aims to create a single global (or interplanetary!) network. Ultimately, by minimizing the number of times that data has to be transmitted to Earth and returned to space, IPFS’s decentralized storage model will enable more efficient data transfer and communication in space. This decentralized storage model could also alleviate burdens for the amount of onboard storage capacity for spacecraft exploring planets. Effectively, every space object could become a node in this network. Now, there are already startups looking to create servers on the Moon to alleviate some of this but this requires shifting large data centers instead which is where IPFS has the advantage. Lockheed Martin and Filecoin are working together to make all this a reality, we’ll soon know whether all of this holds up beyond the whitepapers. Another company, Blockstream, wants to piggyback on existing satellite networks to transmit bitcoin to any location on Earth. It’s an ambitious attempt to use leased satellites to beam bitcoin nearly anywhere in the world. Now in beta, bitcoin users in Africa, Europe, South America and North America can already use the satellites to download a working bitcoin node capable of storing the network’s entire transaction history. But while complex conceptually, the company believes its end result can solve a real issue facing the $66 billion network — without the internet, you can’t access bitcoin. Unfortunately, the long-term viability of a niche project like this and the technical and hardware requirements don’t really hold up, and whilst a nice experiment the chances of it and others like it surviving the relative turmoil of the crypto markets are unlikely. Where blockchain has better use lies within much bigger visions of space and space economies — space mining. “Soon, space will no longer just be a destination. It will be home to the new space economy, independent of Earth” — Joe Landon, Vice President of advanced programs development, Lockheed Martin Asteroid mining and mining on other planetary bodies are already becoming a political hotbed. The US and China are now engaged in a new space race to the Moon and to be the first to mine and harvest its resources. Startups aplenty like Astro Forge want to head to an asteroid, mine rare earth minerals, process in-situ and return the goods to Earth for profit. It is nothing more than the 21st-century equivalent of the California Gold Rush of the mid-1800's. Politically, there is much saber-rattling about squabbling over seemingly unlimited resources which is nothing new to human nature but blockchain and smart contracts could very well resolve some of this by acting like a mining claim system. In the United States, a placer claim grants to the discoverer of valuable minerals contained in loose material such as sand or gravel the right to mine on public land. Other countries such as Canada, Mexico, and Australia grant similar rights. In the United States, the valuable mineral in a placer claim is almost always gold, although other nations mine placer deposits of platinum, tin, and diamonds. Another type of mining claim is a lode claim. A mining claim allows some security of tenure for the owner, providing an incentive to invest time and money developing the deposit. Mining claim laws vary from state to state, but claims staked over federal minerals follow federal mining law. For space, no such system really exists because and no single entity can claim ownership. But for mining in deep space blockchain and smart contracts can replace the existing claim system. It could work like this: space is for everyone A company sends a probe to an asteroid or celestial body. After scanning for resources and confirming the location of minerals and other precious metals it registers a claim on the blockchain — not on the entire body itself but on the area it wishes to mine. It could in theory tokenize that claim and create a DAO to raise the funding to start mining operations (more on DAOs later) It then secures a mining claim by way of smart contract. This contract contains the necessary details around the value of the claim and its resources, the timescales for mining the claim, and the insured value against market value at the time of extraction. This is important for later. The resources are extracted but need to be refined and then transported back to Earth or some other deep space location. At this point, the value of the goods is in flux and now depends on the refinery process and the continuing market value on Earth. Again, for profitability and insurance, the blockchain and smart contract is an immutable way to protect both the mining claim but also the value of the claim itself. Blockchain is a mundane technology, it is infrastructure, and therefore the best application of it however boring it may be will eventually become the most critical part of any new space economy that arises. Now we come to Web3 and the best part of this movement lies in the future application of Decentralized Autonomous Organizations (DAO) for space-faring companies and cooperatives looking to explore the farther reaches. I’ve written extensively in the past on but for space corporations it makes sense especially in the cases of asteroid mining. As an example, aDAO could be set up to initially create the funding model needed to get such a mission off the ground and secure the distribution of funding to the appropriate activities whilst also securing the fair and equitable distribution of the profits of the endeavor. DAOs and their place in the enterprise setting Unfortunately, again, we get to the grifters who want to exploit a legitimate use of the ideology for nothing more than the old scam from the late 1990s. “selling a plot of land on the moon” MoonDAO’s mission is to create a self-sustaining, self-governing settlement on the Moon by 2030 to act as a launch point for humanity to explore the cosmos. The DAO’s mission is to “decentralize access to space,” with the ultimate goal of creating its own Moon colony, according to its website. However, after raising funding through their MOONEY currency, they’ve purchased two space tourism tickets on Blue Origin so far and sent a Youtuber into orbit. Wen moon indeed. It’s unfortunate that the space industry now has a tainted view of what a DAO could actually achieve if properly adopted along with blockchain and smart contracts so instead we get our first taste of space piracy (interestingly, I’ve also written about the similarities between ) DAOs and the pirates of old too The ideas behind Web3 and Blockchain have a place in the space industry and we’re seeing the beginnings of both the good and the bad applications of both. What now needs to happen is their integration into the foundations and infrastructure needed to support not only the long term push to the stars but also the financial processes required to build future space-based economies and organizations.
